Every year, more than 225 terawatt-hours of renewable energy are "spilled" globally-clean power that goes unused. Soluna solves this by building small-footprint, modular data centers co-located with renewable power plants. These data centers run high-performance computing (HPC) applications such as AI, machine learning, cryptocurrency mining, scientific computing, and video processing, turning wasted energy into profitable, sustainable work. By doing so, we help power producers sell every megawatt they generate, and enable the world's data scientists and innovators to compute sustainably.

We are looking for a General Counsel to join our world-class team.

Our ideal GC brings deep experience leading complex transactions, advising high-growth companies, and navigating the dynamic intersection of technology, energy, and infrastructure. You will serve as the company's chief legal strategist, overseeing corporate governance, regulatory compliance, commercial contracts, financing transactions, and risk management across Soluna and its subsidiary businesses.

You will work closely with the CEO, senior leadership, and our project development and finance teams to structure deals, negotiate key agreements, support capital formation, and ensure Soluna continues to scale with strong legal and ethical foundations. The role requires a hands-on, business-minded legal leader who is comfortable operating in a fast-paced, capital-intensive environment and willing to roll up their sleeves to support strategic priorities.

You will:

  • Serve as the chief legal advisor to the CEO, Board of Directors, and senior leadership, providing guidance on corporate governance, regulatory matters, and enterprise risk.
  • Serve as Corporate Secretary, formalizing and maintaining the company's Board and Committee governance structure, documentation, charters, and meeting processes; ensure accurate minutes, resolutions, and compliance across all governance bodies.
  • Lead, negotiate, draft, and execute complex transactions including project finance deals, joint ventures, M&A, strategic partnerships, construction and procurement agreements, and commercial contracts.
  • Oversee legal support for capital formation activities, including equity and debt financing, investor documentation, due diligence, and securities compliance.
  • Develop, implement, and maintain corporate policies, legal processes, and internal controls that enhance operational efficiency while maintaining compliance with all applicable laws and regulations.
  • Advise on all major commercial relationships, including customer agreements, vendor contracts, power-related agreements, and large-scale procurement.
  • Oversee regulatory compliance across energy, environmental, data center, and corporate domains, ensuring proactive monitoring of relevant policy developments.
  • Provide leadership and oversight for corporate governance activities, including Board materials, resolutions, charters, and subsidiary management.
  • Manage outside counsel across a range of specialties (project finance, litigation, securities, employment, real estate, etc.) while ensuring cost-effective and aligned legal strategy.
  • Guide the company's approach to risk assessment, contract structuring, dispute resolution, and legal exposure mitigation.
  • Support executive presentations and engagements with investors, partners, regulators, and external stakeholders.
  • Work cross-functionally with finance, engineering, operations, people, and project development teams to advance strategic and operational goals.
  • Lead the legal team, including setting structure, hiring needs, and high-performance expectations aligned with company objectives.
What You Need to Get the Job Done
  • J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
  • 10+ years of broad legal experience, including significant exposure to complex transactional work (project finance, M&A, infrastructure, or related fields).
  • Experience supporting high-growth, technology-driven, or capital-intensive businesses.
  • Strong understanding of securities law, corporate governance, and compliance frameworks.
  • Deep experience negotiating and structuring commercial agreements with significant financial and operational implications.
  • Proven ability to manage multiple transactions and priorities in a fast-paced environment.
  • Outstanding written and verbal communication skills, with the ability to distill complex legal issues into clear, actionable guidance.
  • Demonstrated leadership ability, executive presence, and strong interpersonal skills.
  • Interest in cryptocurrencies and renewable energy is required; experience is preferred.
